Framatome’s Canadian team are actively supporting the installed base with design engineering services, chemistry and technology development services, supply of parts and components, and nuclear construction and high voltage services.

What You’ll Do Day-To-Day

Handle matters related to corporate governance, commercial contracts, M&A and joint venture transactions, employment, union, and labour law matters, and compliance issues. Review and negotiate service agreements and NDAs as business requires. Lead legal input for the business of Framatome Canada Ltd., including through its interests in joint ventures, IsoGen Corp. and The Steam Generator Replacement Team. Provides leadership and guidance to the business in specialized areas of expertise.

 

Primary responsibilities include, but are not limited to:

  • Provide legal counsel on terms and conditions for proposals and sales and procurement contracts; ensures compliance with company standards and governmental regulations.
  • Collaborate with North American legal team to provide legal support to Framatome’s business units, subsidiaries and joint ventures doing business in Canada.
  • Advises management regarding policy and procedure revisions based on changes in laws and regulations.
  • Maintains corporate books and records for Canadian entities.
  • Administration of corporate ethics and compliance functions.
  • Act as Canadian export control officer for Framatome Canada.
  • Provide legal and strategic advice on matters related to human resources, labour and employment laws, export control laws, and Indigenous Laws.
  • Develop and deliver training programs related to company policies for North America employees.
  • Provide routine and ad hoc reporting on significant legal issues and procedures.
  • Support with union matters, including collective bargaining as required

What You'll Bring

  • Bachelor of Laws (LBB) or Juris Doctorate (JD) from an accredited law school. Admitted to practice law in Ontario, or eligible for admission to practice law in Ontario.
  • Minimum of 5+ years of related experience.
  • Preferred experience in the areas of commercial/corporate transactions, project development, and/or construction law.
  • Proven capability to negotiate terms and conditions while minimizing risks to the company.
  • Demonstrated advanced legal knowledge and counsel, and ability to manage complex legal assignments.
  • Excellent written and verbal communication skills.
  • Ability to work well with all levels of internal and external staff, management and customers.
  • Demonstrated willingness and ability to expand duties and responsibilities.
  • Contract, M&A/joint venture, intellectual property and business transactional experience preferred.
  • Experience with the energy industry, Canadian export regulations, employment and labour law, and/or Indigenous Law are each a plus.
